WebMD Phone Terms and Conditions

This addendum includes additional contractual terms (“WebMD Phone Terms” or “WebMD Phone Addendum”) related to your voice-over-internet protocol (“WebMD Phone”) services and other services (the “LMI Services”) or equipment provided by LogMeIn Communications and their affiliates (“LMI”) and are a part of and supplementary to the terms of the agreement between you and any organization you represent and MH Sub I, LLC, an affiliate of WebMD, LLC (“WebMD”). By accepting these WebMD Phone Terms or using the LMI Services in accordance with Section 1 of the Agreement, you represent that you are of legal age and have the authority to bind the Customer to: (i) these WebMD Phone Terms; (iii) the applicable “Service Descriptions” available at https://www.logmein.com/legal/service-descriptions; (iv) the country-specific “Regional Supplement” available at https://www.logmein.com/legal/regional-supplement, if any; and (v) the Professional Services Terms and Conditions available at https://www.logmein.com/legal/professional-services-terms, each as applicable.

1. ORDER OF PRECEDENCE
   1. Purchase of LMI Services. For the purchase of LMI Services under this Agreement through WebMD, the order of precedence shall be as follows:
      1. the Agreement (all additional documents, terms, and policies incorporated into the Agreement by reference);
      2. these WebMD Phone Terms (all documents, terms, and policies incorporated by reference into WebMD Phone Terms); and then
      3. the LMI Terms of Service located at https://www.logmein.com/legal/terms-and-conditions (“LMI Terms of Service”) (all documents, terms, and policies incorporated into the LMI Terms of Service by reference);
   2. Use of LMI Services. For the purchase of LMI Services under this Agreement through WebMD, the order of precedence shall be as follows:
      1. The LMI Terms of Service
      2. This Agreement; and then
      3. These WebMD Phone Terms.
   3. Essential Terms. For the avoidance of doubt, the LMI Terms of Service and other documents and terms incorporated herein by reference and made available to you on www.logmein.com, shall not take precedence over the Agreement or these WebMD Phone Terms, specifically as it pertains to the following matters:
      1. pricing,
      2. fees,
      3. contractual disputes,
      4. taxes (or tax withholdings),
      5. choice of law,
      6. term,
      7. term renewals, and
      8. termination.
2. EARLY TERMINATION
   1. In the event this Agreement is terminated pursuant to Section 9 of the Agreement and you intend to continue your use of the LMI Services, you will be required to enter into a new contract directly with LMI. In general, the LMI Services provided to you under this Agreement are provided at a discount from the pricing normally offered by LMI directly to its customers. WebMD cannot and will not guarantee the pricing for LMI Services upon termination of the Agreement. Additionally, you shall be responsible for providing all information and authorization to LMI for the billing and continued provision of all LMI Services in accordance with the new contract you may execute with LMI following termination of this Agreement.
   2. In the event this Agreement is terminated prior to the end of the initial Term and you received telephones and other equipment at no up-front cost, you shall be responsible for reimbursing WebMD the remaining pro-rated value of the telephones and equipment.
